These Terms of Service ("Terms") govern your use of the services provided by Aether AI, operated by Aether Trade LLC ("we," "us," or "our"). By using our services, you agree to these Terms.
Use of Services
You may use our services only for lawful purposes and in accordance with these Terms. You agree not to use our services:
- For any illegal activity or to violate any applicable laws
- To send spam, deceptive communications, or misleading outreach
- To distribute malware, exploits, or engage in unauthorized access to systems
- To scrape, harvest, or collect data without authorization
- To harass, threaten, defame, or harm others
- To commit fraud or engage in deceptive practices
- To infringe on intellectual property rights of others
We reserve the right to suspend or terminate your access for violations of these Terms.
Accounts
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. You are responsible for all activity that occurs under your account.
Intellectual Property
Our IP
We retain all rights, title, and interest in our services, including all software, designs, documentation, and related intellectual property. Nothing in these Terms grants you ownership of our intellectual property.
Your Content
You retain ownership of any content you provide through our services. You grant us a limited license to use, process, and store your content solely to provide and improve our services.
License to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes.
Professional Services
For custom development, integrations, or consulting work, the scope, deliverables, timeline, and fees are governed by a separate Statement of Work (SOW) or Order Form. In the event of any conflict between these Terms and a signed SOW, the SOW controls for that engagement.
Payment
Fees
You agree to pay all fees associated with your use of our services as specified in your subscription plan, invoice, or SOW.
Late Payments
Overdue payments may be subject to late fees of 1.5% per month (or the maximum rate permitted by law, if lower). We may suspend services for accounts with outstanding balances.
Taxes
Fees do not include taxes. You are responsible for all applicable taxes, duties, and government charges related to your use of our services.
Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that our services will be uninterrupted, error-free, or secure. AI-generated outputs may contain inaccuracies and should be reviewed before reliance. See our AI Disclaimer for more details.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES IS LIMITED TO THE FEES YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.
Termination
By You
You may terminate your account at any time by contacting us. Termination does not relieve you of any payment obligations for services already rendered.
By Us
We may terminate or suspend your access immediately, without prior notice, if you breach these Terms or if we determine, in our sole discretion, that your use poses a risk to our services or other users.
Effect of Termination
Upon termination, your right to use our services ceases. We may delete your data after a reasonable period following termination, subject to any legal retention requirements.
Governing Law & Venue
These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Georgia, and you consent to the personal jurisdiction of such courts.
Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes through our usual communication channels. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.
